KALINGA ARTS GUILD

BY LAWS

ARTICLE I - Nature and Purposes of the Organization

Section 1 - The name of the organization shall be the Kalinga Arts Guild and shall herein be referred to as "The Guild".

Section 2 – Purposes;

The Kalinga Arts Guild is a nonprofit group organized for exclusively educational and social purposes including and for such purposes as stimulating interest in and encouraging development of Arts specifically in the greater Kalinga area. This shall be implemented by making available workshops, classes, exhibitions and lectures on paintings, video productions, photography, cultural dances, and related arts. The Kalinga Arts Guild is an independently organized nonprofit arts association founded in 2004 by local residents. It is dedicated to promoting excellence in current century fine arts and crafts as a way of enriching the cultural life of the Kalinga area community. The Guild is funded by membership dues, sales of artwork, and public monies.


1. To promote kalinga dances,songs,arts and craft nationwide and around the world.
2. To foster the development of Kalinga arts, dances,songs,crafts and artistic skills at all levels by providing resources to enable members to share expertise and experiences.
3. To raise standards in Kalinga arts and craft quality by competitions and exchanges.
4. To promote, through Internet sites, public interest in, and awareness of, the work being done by Kalinga artists and craftsmen.
5. To educate the public in cultural dances, painting arts and crafts by developing Internet sites for the purpose of conducting work-shops, seminars, lectures, displays, and exhibits, but in no way to operate any school or similar entity requiring licensing.
6. To work and cooperate with other public-oriented groups to develop the growth of artist and craftsmen products, and to build the Guild's membership base, and give and receive support from such other groups and organizations.
7. To assist, educate, develop, foster, stimulate, and support the economic benefits of engaging in arts and crafts, not only among those already engaged in same, but also on behalf of those who seek to engage in same.
8. To provide and develop resources and benefits for those engaged in painting, photography, mosaic arts, sculptor, cultural dances, graphic designing and advertising, landscaping, as artists and craftsmen and for those who seek to engage in same. 9.
This shall be implemented by making available workshops, classes, exhibitions and lectures on painting, cultural dances, and related arts.

10. The Guild strives to educate the public through exhibits, field trips, gallery talks, lectures, workshops and other community outreach activities.

ARTICLE II - Membership, Fees, Assessments, Contributions, Resignation and Suspension

Section 1 - Membership in the Guild shall be open to individuals, businesses, and/or organizations actively engaged in arts and crafts and/or supporting the goals of the Guild.

Section 2 - A member in good standing shall be defined by his/her dues status as determined by the treasurer.

Section 3 - Individuals, businesses, and/or organizations holding memberships are entitled to vote, chair committees, hold office and receive full rights and privileges as defined by the Executive Committee.


Section 4 - Initiation Fees

An application/Registration fee of 200.00 peso shall be assessed on each member and rejoining member to offset the cost of document processing and identification cards..

Section 5 - Assessments

There shall be no assessments levied against the members.

Section 6 - Contributions

Should it ever become necessary for the Guild to ask for contributions from the membership such contributions shall be voluntary in nature.

Section 7 - Any member may withdraw from the Guild by giving a member of the Executive Committee notice of such withdrawal.

Section 8 - Any member may be suspended or expelled, by a two-thirds vote of the Executive Committee quorum at an Executive meeting, for conduct unbecoming a member, or prejudicial to the aims of the Guild, after notice and opportunity for a hearing are afforded such member.

ARTICLE III - Membership Meetings and Voting

Section 1 - The Guild shall hold two yearly general membership meetings.
1. January- Before the Kalinga Foundation Day

2. June – Before start of classes

The above meeting schedule can be modified by the Executive Committee and notice shall be sent to members electronically or by mail no less than fourteen (14) days in advance.

Section 2 - The election meeting of the Guild shall be held to coincide with the general meeting every January of the year. Notice of the election meeting shall be electronically mailed, or a notification will be sent to the last recorded address of each member no less than fourteen (14) days before the meeting.

Section 3 - Each member in good standing shall be entitled to one vote. All actions shall be decided by majority vote of the members present at any general meeting at which a quorum of not less than nine (9) members is present.

ARTICLE IV - Election, Officers and Duties

Section 1 - Executive Committee Officers

President, Vice President, Secretary, Treasurer, six (6) Members-at-Large (one of which is the immediate past President).

Section 2 - Method of Election of Officers

Officers shall be elected from those members placed in nomination, by a majority vote of the members casting ballots during the voting time period. Should there be a tie vote for any office, the membership will be so advised and another vote taken. This method shall be repeated until a simple majority of ballots cast exists for election to the office in question. Should there be no names placed in nomination for an office, then the holder of that office shall be considered as re-elected to the office. Should there be only one name placed in nomination for any office, that member shall be considered as being elected to office.

Section 3 - Eligibility for Election to Office

To be eligible for election to office a member must be in good standing and have been nominated by another member in good standing.

Section 4 - Nominations

Nominations for election to office may be submitted by members in good standing, with said nominations being submitted to the Secretary during the month of August every other year. It will be the responsibility of the Secretary to properly notify each member whose name is placed in nomination. Should any member decline the nomination, his/her name shall be removed from the list of nominees by the Secretary prior to the election of officers.

Section 5 - The election of the members of the Executive Committee shall take place at the election meeting. The slate of officers shall be presented during the month prior to the fall election meeting.

Section 6 - The President shall preside at meetings, shall have general charge and supervision of the business and affairs of the Guild, and shall have other powers and duties as may be assigned by the Executive Committee.

Section 7 - In the absence or disability of the President, the Vice President shall perform such duties (see Section 6), as well as exercise other powers and duties as determined by the Executive Committee.

Section 8 - The secretary shall attend all meetings of members, and the Executive Committee, and keep accurate minutes of the proceedings.

Section 9 - The Treasurer shall be responsible for the safeguarding of all funds received by the Guild, and for their proper disbursement. The Treasurer shall review the financial status of the Guild, and make a full report of the financial condition of the Guild at all regular meetings, whenever required by the President or the Executive Committee.

Section 10 - Members-at-Large shall assume such duties as determined by the Executive Committee and the needs of the Guild.

ARTICLE V - Executive Committee

Section 1 - The general management of the affairs of the Guild shall be vested in the Executive Committee. The Committee shall have control of the property and affairs of the Guild and shall be able to modify its policy.

Section 2 - At the election meeting of the members of the Guild, the Executive Committee officers will be elected.

Section 3 - A vacancy shall be deemed to exist in the Executive Committee if a member dies, resigns, ceases to be a member, or fails to attend three consecutive meetings of the Executive Committee without submitting reasons which are considered to be good and sufficient by the Committee. Such vacancies shall be filled by special election at the next general meeting by a majority vote of those present. A temporary appointment before the special election will be determined by the executive committee if necessary. Temporary appointment shall be approved by the executive committee.

Section 4 - The Executive Committee shall meet not less than two (2) times per year on dates and days proposed by the President and approved by the Executive Committee.

Section 5 - A quorum of the Executive Committee shall consist of six (6) members, and all matters to be passed upon by the Committee shall be approved by a majority of the quorum.

Section 6 - Any member of the Executive Committee can be removed from office by a two-thirds vote of the Executive Committee at an Executive meeting for misconduct or serious neglect of duties.

ARTICLE VI - Headquarters

The headquarters of the Guild will be at the present address of the president.

ARTICLE VII - Copyrights

Section 1 - Logo/Emblem
1. The Logo/Emblem of the Guild will be the title "Kalinga Arts Guild"

2. The Logo/Emblem denoted above shall remain the sole property of the Kalinga Arts Guild and may not be reproduced without written permission of the Guild.

ARTICLE VIII - Amendments

These by-laws may be amended by a two-thirds vote of the members present at any regular meeting, providing the notice for the meeting includes the proposals for amendments. Any proposed amendments shall be submitted at any regular meeting and voted on at the next regular meeting.

Article IX - Budget

Section 1 - The Kalinga Arts Guild shall vote on an annual budget in January of each year.

Section 2 - Once this annual budget has been approved, any monies to be spent over P10,000.00 shall need the approval of the Guild membership. Voting shall be in accordance with Article III.

ARTICLE X - Checks, Deposits, and Gifts

Section 1 - Checks, drafts, and all other orders for payment of money, notes, or other evidence of indebtedness issued in the name of the Guild, shall be signed by such officer or officers and in such manner as may be specified by these By Laws or by resolution of the Executive Committee.

Section 2 - In addition to the President and Treasurer, the Executive Committee shall appoint one other officer to place his/her name on the check authorization signature card on file at the Guild's place of banking.

Section 3 - All funds of the organization shall be deposited to the credit of the guild in such banks, trusts, or other depositories as the Executive Committee may select. The Executive Committee may accept on behalf of the Guild any contribution, gift, bequest, or device for the general or special (if so designated) purpose or use of the guild.

Section 4 - The Guild wishes to be a nonprofit organization and will follow all procedures to create a nonprofit status.

ARTICLE XI- Guild Responsibility

The Guild shall not be held responsible for the actions of any member.

ARTICLE XII - Individual Rights and/or Responsibility

No individual member or person shall have exclusive rights to, or responsibility for, anything concerning the Guild, its assets or obligations.

ARTICLE XIII - FINAL DISPOSITION

Upon the dissolution of the Guild or the winding up of its affairs, the Board of Directors, after paying or making provision for the payment of all of the liabilities of the Guild, shall distribute all the remaining assets of the Guild to one or more organizations, organized and operated exclusively for charitable, literary or education purposes.




KALINGA ARTS GUILD

The Kalinga Arts Guild is a local union of illustrators, designers, web creators, production artists, surface designers and other creatives who have come together to pursue common goals, share their experience, raise industry standards, and improve the ability of visual creators to achieve satisfying and rewarding careers.

We do this through democratic and egalitarian means within a structure open to all working artists. Every Guild member is guaranteed a voice and the opportunity to actively participate.

Our Members

The Kalinga Arts Guild is made up of individuals who work in many disciplines, including illustration, graphic design, photography, cartooning, web design, multimedia, surface design and others. The experience, wisdom, and activism of our members, is by far our greatest resource.


Our Community

The Guild gives you a direct connection to your peers. Workshops and events sponsored at the local Chapter level provide colleagues an opportunity to meet in a noncompetitive environment, network, and take action on issues of concern.

Our active members appreciate a community where information on business practices, employment opportunities, clients, vendors, and technology is shared.

Our Efforts

Equipping artists with the skills they need is what we do best. But helping artists cope with today's market isn't enough. The Guild is organized as a union so that we may act collectively and advocate for artists' rights in the political arena, making sure that we are respected and treated fairly by local, and government.
